Practice Area: Commercial Transactional and Litigation
We are seeking a motivated and detail-oriented Law Clerk who is currently in their second or third year of law school to join our firm, which specializes in both commercial transactional work and litigation. This role offers an excellent opportunity to gain hands-on experience in both areas, working closely with experienced attorneys on a variety of complex commercial matters.
Key Responsibilities:
- Document Drafting and Review:
- Assist in drafting, reviewing, and revising a range of commercial transactional documents, including contracts, agreements, and corporate governance documents.
- Assist in drafting and revising pleadings, motions, discovery requests, and other litigation-related documents.
- Due Diligence:
- Participate in due diligence processes for transactional work, reviewing and organizing corporate documents, contracts, and other relevant materials.
- Assist in preparing due diligence reports and summaries for attorney review.
- Legal Research and Memoranda:
- Conduct in-depth legal research on issues related to both commercial transactions and litigation.
- Prepare legal memoranda, summarizing findings and providing recommendations to assist attorneys in decision-making.
- Client Interaction:
- Assist attorneys in client meetings, taking notes, and helping with the preparation of client and case memorandums.
- Maintain professional communication with clients under the supervision of attorneys.
Qualifications:
- Current enrollment in a second or third year of law school, with a focus on commercial law (transactional and/or litigation).
- Strong legal research and writing skills.
- Excellent attention to detail and organizational skills.
- Ability to manage multiple tasks and prioritize effectively in a fast-paced environment.
- Proficiency in Microsoft Office Suite and legal research tools (e.g., Westlaw, LexisNexis).
- A strong interest in commercial transactional and litigation law.
